Terms of Service

• Must be at least 18 years of age
• Must have legal authority to enter into these Terms
• Must comply with all applicable laws and regulations

• Hold a valid pharmacy license in good standing
• Hold a valid DEA registration (for controlled substances)
• Maintain all required state and federal certifications
• Have signed a Business Associate Agreement (BAA) with RxRunner

• Must be at least 21 years of age
• Hold a valid driver's license
• Pass a background check
• Maintain valid vehicle insurance
• Complete RxRunner's training program for controlled substance handling
• Sign an Independent Contractor Agreement

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the accuracy of your account information at all times.

• Maintain confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Immediately notify us of unauthorized use: security@bidayax.com

We are not liable for losses caused by unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent or illegal activity, fail to maintain required licenses, or remain inactive for more than 12 months.

• Pharmacies — submit prescription delivery requests, track deliveries, communicate with drivers
• Drivers — accept delivery assignments, update delivery status, confirm custody transfers

• Use the Service for any illegal purpose
• Submit false or fraudulent prescriptions
• Violate any laws or regulations (DEA, HIPAA, state pharmacy laws)
• Interfere with or disrupt the Service or its infrastructure
• Attempt to gain unauthorized access to systems or data
• Use automated tools (bots, scrapers) without written permission
• Disclose PHI to unauthorized parties
• Impersonate another user or entity

Pharmacy Partners are responsible for verifying that prescriptions are valid, authentic, and compliant with DEA and state regulations, and for obtaining all required patient consents.

• Maintain HIPAA-compliant practices at all times
• Execute and maintain a Business Associate Agreement (BAA) with RxRunner
• Ensure patient authorizations for delivery are obtained
• Report any suspected privacy breaches immediately to security@bidayax.com

• Complete RxRunner's controlled substance handling training
• Maintain custody chain integrity (scan/confirm pickups and deliveries)
• Secure prescriptions during transport (locked container required)
• Verify patient or authorized representative identity at delivery
• Report any custody issues immediately

• Maintain strict confidentiality of all PHI
• Do not disclose patient information to unauthorized parties
• Do not photograph or copy prescriptions (except via the RxRunner app)
• Follow all HIPAA requirements at all times

Pharmacy Partners agree to pay delivery fees per prescription as specified in the signed Service Agreement. Fees are billed monthly. Pricing is subject to change with 30 days' notice.

Drivers receive per-delivery compensation as specified in the Independent Contractor Agreement, paid bi-weekly. Drivers are responsible for self-employment taxes; RxRunner provides 1099 forms annually.

RxRunner's Intelligence Layer uses automated systems for driver dispatch optimization, route planning, pharmacy queue management, anomaly detection, trust scoring, and policy enforcement.

All automated decisions are subject to human override. Pharmacy Partners and Drivers may challenge or override any automated assignment through the Service. Automated decisions do not replace professional pharmaceutical judgment.
